Terms of Use

By accessing or using Geolapis Agent, creating an account, subscribing to a plan, connecting an integration, or using any part of the platform, you agree to these Terms. If you are using the platform on behalf of a business, you confirm that you have authority to bind that business to these Terms.

If you do not agree with these Terms, you must not use the platform.

Geolapis Agent provides software tools for service businesses, including AI-assisted call handling workflows, lead management, instant quote support, appointment booking, follow-up messaging, customer communication, usage reporting, billing management, and operational dashboards.

The platform is designed to assist business workflows. It does not replace professional judgment, human review, customer service responsibility, legal compliance, or business decision making.

You are responsible for maintaining the confidentiality of your login credentials, access tokens, agent secrets, API keys, and account access. You are responsible for all activity that occurs under your account or business workspace.

• You must provide accurate account and business information.
• You must keep account, billing, and contact information up to date.
• You must not share credentials with unauthorized persons.
• You must promptly notify us if you suspect unauthorized access or misuse.
• You are responsible for managing team members, roles, and permissions within your workspace.

You are responsible for the information you enter, upload, import, collect, send, or process through the platform, including lead details, caller details, customer information, quotes, appointments, notes, messages, call details, and business records.

You must ensure that you have the required authority, notice, consent, contractual right, or other lawful basis to collect, use, disclose, store, and communicate with your leads, customers, callers, staff, and business contacts through Geolapis Agent.

If you use Geolapis Agent to send SMS messages, emails, follow-ups, reminders, marketing messages, booking messages, or other communications, you are responsible for ensuring that those communications comply with applicable Canadian laws, carrier rules, platform rules, and customer consent requirements.

For commercial electronic messages, you are responsible for obtaining and keeping appropriate consent records, identifying the sender where required, and providing unsubscribe or opt-out mechanisms where required.

• You must not use the platform to send spam, deceptive, unlawful, harassing, abusive, or misleading communications.
• You must honour unsubscribe, opt-out, do-not-contact, and customer communication preferences where required.
• You must not upload purchased, scraped, harvested, or unauthorized contact lists.
• You must not use the platform for phishing, impersonation, fraud, intimidation, or illegal solicitation.
• You are responsible for message content, timing, targeting, and recipient permission.

Geolapis Agent may include AI-assisted features that help with service classification, lead summaries, quote drafting, customer follow-ups, call outcome interpretation, or workflow suggestions. AI outputs may be incomplete, inaccurate, delayed, or unsuitable for a specific situation.

You are responsible for reviewing AI-assisted outputs before relying on them for pricing, customer communication, booking decisions, service commitments, legal obligations, safety decisions, or business-critical workflows.

Quote and pricing tools are provided to assist your business operations. You are responsible for configuring your pricebook, reviewing quote outputs, confirming taxes, confirming service scope, and ensuring that any quote or estimate sent to a customer is accurate and appropriate for your business.

Geolapis does not guarantee that a generated quote, estimate, price, tax amount, appointment slot, or service recommendation will be correct, complete, or suitable for every job.

Paid plans, usage-based features, add-ons, and other charges may be billed through our payment provider. By subscribing to a paid plan or purchasing a paid feature, you authorize applicable fees, taxes, and charges to be billed using your selected payment method.

• Subscription fees are generally billed in advance for the selected billing period.
• Usage limits, plan features, and pricing may vary by plan and may change from time to time.
• Unless stated otherwise, fees paid for the current billing period are non-refundable.
• You are responsible for all applicable taxes, fees, and charges associated with your use of the service.
• If payment fails, we may suspend, restrict, or terminate access to paid features.
• You may cancel your subscription according to the cancellation options available in your account or through support.

Geolapis may offer free trials, pilot access, beta access, early access, discounts, credits, or promotional offers. These offers may be limited by time, usage, location, feature access, availability, or business eligibility.

We may modify, withdraw, or end promotional offers at any time, unless otherwise agreed in writing.

You agree not to use Geolapis Agent to:

• Violate any applicable law, regulation, court order, carrier rule, platform rule, or third-party right.
• Send unlawful, harmful, abusive, deceptive, misleading, defamatory, hateful, discriminatory, or harassing content.
• Transmit malware, spam, phishing messages, fraudulent content, or unauthorized commercial messages.
• Attempt to gain unauthorized access to systems, accounts, data, APIs, infrastructure, or other users’ workspaces.
• Interfere with platform security, rate limits, monitoring, billing systems, usage limits, or service reliability.
• Reverse engineer, scrape, copy, resell, sublicense, or exploit the platform except as expressly permitted.
• Use the platform to make emergency service decisions, safety-critical decisions, or regulated professional decisions without appropriate human review.
• Misrepresent your identity, business, services, pricing, authorization, customer consent, or sender information.

The platform may integrate with third-party services for payments, SMS, voice, email, booking, hosting, databases, analytics, AI processing, and other functions. Your use of those integrations may also be subject to the third party’s terms, policies, fees, limitations, and availability.

Geolapis is not responsible for third-party outages, delivery failures, pricing changes, policy changes, account suspensions, data handling practices, or service limitations outside our direct control.

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or delay-free operation. The platform may be unavailable due to maintenance, updates, security issues, infrastructure failures, provider outages, internet disruptions, or events outside our reasonable control.

We may update, improve, suspend, remove, or change features from time to time. We may also introduce new limits, security measures, plan rules, or workflow changes to protect the platform and improve service quality.

Our handling of personal information is described in our Privacy Policy. By using the platform, you agree that we may collect, use, store, process, and disclose information as described in the Privacy Policy and as needed to provide the service.

You are responsible for using reasonable safeguards in your own business, including appropriate access controls, staff training, consent records, customer communication practices, and secure handling of exported data.

Geolapis and its licensors own the platform, software, design, code, workflows, documentation, branding, templates, and related intellectual property. These Terms do not transfer ownership of Geolapis intellectual property to you.

You retain ownership of your business data and customer data, subject to the rights needed for Geolapis to operate, support, secure, improve, and provide the platform.

If you provide suggestions, ideas, feedback, bug reports, or improvement requests, you allow Geolapis to use them without restriction or compensation, provided we do not disclose your confidential information except as permitted by these Terms or our Privacy Policy.

We may suspend, restrict, or terminate your access if we believe that you have violated these Terms, failed to pay fees, created security or operational risk, misused the platform, violated communication rules, caused harm to users or third parties, or used the service unlawfully.

You may stop using the service or cancel your subscription at any time. Certain obligations, including payment obligations, confidentiality, acceptable use, intellectual property, disclaimers, limitations of liability, and dispute provisions, may continue after termination.

To the maximum extent permitted by law, Geolapis Agent is provided on an “as is” and “as available” basis. We do not guarantee that the platform will be uninterrupted, error-free, secure, accurate, complete, or suitable for your specific business needs.

We do not guarantee delivery of SMS messages, emails, calls, calendar bookings, payment events, quotes, reports, AI outputs, or integrations where delivery depends on third-party providers, networks, configuration, customer devices, consent status, or external systems.

To the maximum extent permitted by law, Geolapis will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of business, goodwill, data, revenue, customers, opportunities, or expected savings.

To the maximum extent permitted by law, Geolapis’ total aggregate liability for claims related to the platform will not exceed the fees paid by you to Geolapis for the service during the three months immediately before the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Geolapis and its officers, directors, employees, contractors, suppliers, and service providers from claims, losses, damages, liabilities, penalties, costs, and expenses arising from your use of the platform, your customer communications, your data, your breach of these Terms, your violation of law, or your infringement of third-party rights.

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict of law rules. Where mandatory consumer protection, privacy, electronic communication, or other laws apply, those rights may not be limited by these Terms.

We may update these Terms from time to time as the platform, Canadian launch, business model, laws, providers, or features change. If we make material changes, we may provide notice through the website, dashboard, email, or another appropriate method. The effective date above shows when these Terms were last updated.

Continued use of the platform after updated Terms become effective means you accept the updated Terms.
